Seller Terms & Conditions

Terms governing the listing and sale of products on Synthosy.

1. Seller Eligibility and Verification

To sell on Synthosy you must be at least 18, able to enter legally binding contracts, and not subject to any applicable sanctions. You must complete Stripe Connect onboarding including identity verification (KYC) before receiving payouts. Synthosy may conduct additional KYC/AML verification and sanctions screening at any time.

2. Seller Warranties

By creating a listing you warrant that:

  • You are the original creator or hold valid, transferable rights to sell the product
  • The product does not infringe any third-party intellectual property rights
  • Any AI models or datasets were trained lawfully using data obtained with appropriate consent or lawful basis under UK GDPR
  • The product complies with all applicable laws including data protection, consumer protection, and equality legislation
  • The product contains no malware, backdoors, hidden functionality, or harmful code
  • All claims in the listing description are accurate and substantiated

3. Seller Indemnities

You agree to indemnify and hold harmless Synthosy from all claims, losses, and costs arising from: breach of your warranties; IP infringement claims; GDPR breaches; fraudulent or misleading descriptions; unlawful AI outputs; and any regulatory claims arising from your activities as a Seller.

4. Fees and Payouts

  • Platform fee: 6% of gross sale price
  • Promotion fee: additional 4% where elected — applies to gross sale price
  • Listing fee: £0 — no charge to create or maintain listings

Stripe processing fees are also deducted. See stripe.com/gb/pricing. Payouts via Stripe Connect, typically within 2 business days.

5. Tax and VAT

You are solely responsible for all taxes applicable to your sales. Where required by law, Synthosy reserves the right to deduct applicable VAT from payouts or withhold amounts for tax purposes. Synthosy does not provide tax advice — consult a qualified tax adviser.

6. Withholding Rights

Synthosy may withhold payouts where: a buyer dispute is open; fraud or money laundering is suspected; a chargeback has been initiated; sanctions exposure is identified; or required by law.

7. Prohibited Listings

The following may not be listed: malware; illegal surveillance tools; IP-infringing content; CSAM; fraud-facilitating tools; products making false claims; AI models trained on unlawfully obtained data; or any content designed to cause harm.

8. Suspension and Termination

Synthosy may suspend or terminate accounts with immediate effect for breach of these Terms, multiple unresolved buyer disputes, sanctions exposure, or fraud. The repeat infringer policy applies — three upheld IP complaints within 12 months results in permanent termination.
